End User License Agreement

1. Introduction

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and BIWA SARL, the company behind Swift PIP, governing the use of the Swif PIP Jira App (“Software”). By installing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

2. Definitions

  • “Software”: Refers to the Swift PIP Jira App provided by BIWA SARL.
  • “Company”: Refers to BIWA SARL, the legal entity owning and managing the Software.
  • “User”: Refers to the individual or entity installing or using the Software.
  • “Agreement”: Refers to this End User License Agreement.

3. License Grant

The Company grants the User a non-exclusive, non-transferable, and limited license to use the Software within the User’s Jira environment, subject to the terms of this Agreement.

4. Restrictions

The User agrees not to:

  • Modify, reverse engineer, or decompile the Software.
  • Use the Software for illegal purposes.
  • Resell, distribute, or sublicense the Software without prior written permission from the Company.

5. Ownership

The Software and all related materials, including intellectual property rights, are owned by the Company. This Agreement does not transfer ownership of the Software or any related rights to the User.

7. Warranty Disclaimer

The Software is provided “as is” without warranties of any kind, either express or implied. The Company disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties, so these exclusions may not apply to you.

8. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Software. This limitation applies even if the Company has been advised of the possibility of such damages.

9. Third-Party Dependencies

The Software relies on third-party services, including Atlassian APIs. The Company is not responsible for changes or interruptions in these services that may affect the functionality of the Software.

10. Indemnification

The User agrees to indemnify and hold the Company harmless from any claims, damages, or expenses arising from their use of the Software in violation of this Agreement.

11. Updates and Changes

The Company reserves the right to update or modify this Agreement at any time. Users will be notified of significant changes through the Atlassian Marketplace. Continued use of the Software after changes are made constitutes acceptance of the updated Agreement.

12. Termination

This Agreement is effective until terminated. The Company may terminate this Agreement if the User breaches its terms. Upon termination, the User must stop using and uninstall the Software.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.
